This Revised Membership Agreement ("Agreement") is made and entered into as of [DATE], by and between NEO Performance Lab LLC, doing business as NEO Boot Camp ("NEO Boot Camp"), and [MEMBER NAME] ("Member").

1. DEFINITIONS

1.1 Members: For the purposes of this Agreement, "Members" shall include all individuals who have signed this Membership Agreement, regardless of age. Minors under the age of 18 must have written consent from their legal guardian to participate in NEO Boot Camp activities.

2. MEMBERSHIP TERMS AND CONDITIONS

2.1 Eligibility: Member represents and warrants that they are at least 18 years of age or have written consent from their legal guardian to participate in NEO Boot Camp activities. 2.2 Rules and Regulations: Member agrees to observe and obey all posted rules and warnings, and to follow any oral instructions and directions given by NEO Boot Camp, its employees, representatives, or agents. 2.3 Consent to Use of Photographs and Recordings: Member hereby grants NEO Boot Camp the right to use photographs and audio-visual recordings of their participation in NEO Boot Camp activities for promotional purposes. Member assigns all rights to such media to NEO Boot Camp and releases NEO Boot Camp from any liability related to its use. 2.4 Data Usage: Member acknowledges and agrees that NEO Boot Camp may collect and use data from its website and application for internal purposes, such as improving the user experience.

3. CREDIT CARD AUTHORIZATION

3.1 Authorization: Member hereby authorizes NEO Boot Camp to charge the credit card provided by the Member for all membership fees, late penalties, and any other applicable charges related to the Member's participation in NEO Boot Camp activities.

4. MEMBERSHIP REVOCATION AND FORFEITURE OF CREDIT

4.1 Grounds for Revocation: NEO Boot Camp reserves the right to revoke a Member's membership at any time for violations of the rules, regulations, and policies of NEO Boot Camp. 4.2 Forfeiture of Credit: In the event a Member's membership is revoked, the Member shall forfeit any existing credit on their account.

5. ASSUMPTION OF RISK AND WAIVER OF LIABILITY

5.1 Explicit Acknowledgment of Understanding: "I, [Member Name], hereby acknowledge that I have carefully read, fully understand, and voluntarily agree to the terms and conditions outlined in this agreement. I acknowledge that I am giving up legal rights by signing this agreement." 5.2 Affirmation of Physical Fitness: "I affirm that I am physically fit to participate in the activities offered by NEO Boot Camp and have consulted a physician regarding my physical fitness if I deemed it necessary." 5.3 Emergency Medical Treatment Consent: "In the event of an injury, illness, or incapacity during my participation at NEO Boot Camp, I hereby consent to receive medical treatment deemed necessary by medical personnel." 5.4 Clarification of Scope of Release: "This release covers and includes all claims, liabilities, demands, actions, or rights of action, whether known or unknown, arising out of or related to any injury, illness, or damage that may occur as a result of my participation in NEO Boot Camp activities, including those resulting from the negligence of NEO Boot Camp, its employees, and agents." 5.5 Release: Member hereby releases NEO Boot Camp, its employees, principals, agents, volunteers, or anyone working on their behalf, from any and all liability, claims, demands, actions, or rights of action. 5.6 Indemnification: Member agrees to indemnify and hold harmless NEO Boot Camp from any and all liability, claims, demands, actions, or rights of action that may arise from Member's participation in NEO Boot Camp activities.

6. LATE CANCELLATION POLICY

6.1 Cancellation Policy: Member agrees to a cancellation policy requiring notice of cancellation at least 12 hours before a scheduled class. Failure to cancel within this window may result in a late penalty fee of up to $15 or the deduction of class credit, at the discretion of the individual studio.

7. COVID-19 WAIVER LIABILITY

7.1 Acknowledgment of Risks: Member acknowledges and agrees to assume all foregoing risks related to COVID-19 and accepts sole responsibility for any injury, illness, damage, loss, claim, liability, expense, or other consequence that may result from their participation in NEO Boot Camp activities.

8. GOVERNING LAW AND JURISDICTION

8.1 This Agreement shall be governed by the laws of the State of California, United States.
